Description of Service
Helm is portfolio monitoring software that helps you:
- Track your investment portfolio allocations across multiple accounts.
- Monitor drift from your target asset allocation.
- Identify potential tax-loss harvesting opportunities.
- Calculate how to invest new contributions to maintain your targets.
- Receive email alerts based on your configured preferences.
Helm does not have access to your brokerage accounts, does not execute trades on your behalf, and does not custody any assets.
Your Responsibilities
As a user of Helm, you agree to:
- Provide accurate information: You are responsible for the accuracy of the portfolio data you enter or upload.
- Maintain account security: Keep your login credentials secure and notify us immediately of any unauthorized access.
- Verify calculations: Review any suggestions or calculations before acting on them.
- Comply with laws: Use the Service in compliance with all applicable laws and regulations.
- Personal use only: The Service is for your personal, non-commercial use unless otherwise agreed.
Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, either express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
- We are not liable for any investment losses, tax consequences, or other damages arising from your use of the Service or reliance on information it provides.
- Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Alabama. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Before initiating any legal action, you agree to contact us at support@helmpf.com to attempt to resolve the dispute informally. We will attempt to resolve claims through informal negotiation within 60 days of receiving notice.
Indemnification
You agree to indemnify, defend, and hold harmless Helm Personal Finance and its agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any investment or tax decisions you make based on information provided by the Service.
Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Helm Personal Finance regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
